Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CNSUGO platform, website, and mobile applications (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Nature of the service — marketplace only

CNSUGO is a technology marketplace and information service that connects independent customers, merchants, and drivers in Camarines Norte, Philippines. CNSUGO itself does not:

  • Sell, prepare or deliver food or goods
  • Employ drivers or merchants
  • Guarantee the quality, safety or legality of items listed by merchants
  • Operate as a bank, electronic money issuer, or payment institution

Merchants are independent businesses responsible for their own goods and compliance. Drivers are independent contractors responsible for their own vehicles, licenses and insurance. The contract for sale and delivery is between the customer, the merchant and (where applicable) the driver — not with CNSUGO.

2. Eligibility and account

  • You must be at least 18 years old to create an account.
  • You must provide accurate, current and complete information.
  • You are responsible for keeping your password confidential and for all activity under your account.
  • You may not create multiple accounts, impersonate another person, or use the Platform for any illegal purpose.
  • We may suspend or terminate your account at our discretion if you violate these Terms.

3. Know Your Customer (KYC) for merchants and drivers

Merchants and drivers must submit valid government-issued identification and supporting documents (business permits, clearances, licenses) for verification before they can accept orders or deliveries. We may reject, suspend, or request additional documents from any account at our discretion to comply with applicable Philippine laws, including the Anti-Money Laundering Act (RA 9160 as amended) and the National Internal Revenue Code.

4. Orders and payments

  • Orders may be paid by Cash on Delivery (COD) or by other payment methods supported by the merchant (e.g., direct GCash / bank transfer using the merchant's QR code).
  • For COD orders, the customer pays the full order amount in cash to the driver upon delivery. The driver remits the merchant's share back to the merchant through CNSUGO's internal settlement ledger.
  • Prices, delivery fees and commission rates are displayed at the time of checkout.
  • Once an order is confirmed and prepared, cancellations may be subject to fees depending on the stage of the order.

5. The CNSUGO Wallet — internal settlement ledger

Important: The "wallet" shown in your merchant or driver dashboard is an internal accounting ledger used by CNSUGO to track amounts owed between you and the platform (platform commissions, COD settlements, top-ups and withdrawals). It is not an electronic money account, a bank deposit, a prepaid card, or a stored-value instrument, and CNSUGO is not an Electronic Money Issuer (EMI) under Bangko Sentral ng Pilipinas Circular 649, 940, or any successor regulation.

The wallet balance reflects the net amount you are owed by, or owe to, CNSUGO as a result of transactions on the Platform. It cannot be used to pay third parties, cannot be transferred to other users, and can only be settled through the withdrawal process described in Section 6.

6. Top-ups and withdrawals

  • Drivers may top up their wallet to maintain a sufficient balance for COD settlements by depositing to CNSUGO's designated bank or e-wallet account and uploading proof of payment. Top-ups are credited after admin verification.
  • Merchants and drivers may withdraw their net settlement balance to their nominated GCash or Philippine bank account. Withdrawals require OTP verification and are processed within 24–48 hours.
  • Daily and single-transaction limits apply to top-ups and withdrawals for security and AML compliance. Current limits are displayed in your wallet page and may be updated from time to time.
  • CNSUGO may delay, hold or reverse any top-up or withdrawal that we reasonably believe is fraudulent, mistaken, or in violation of law or these Terms.

7. Commissions and fees

CNSUGO charges a commission on each successfully delivered order. The commission rate is set per-merchant and per-driver and is displayed in the respective dashboards. Commissions are deducted automatically from the wallet ledger on delivery. Delivery fees are collected by the driver as compensation for the delivery service, minus the applicable platform commission.

8. Taxes

Merchants and drivers are solely responsible for reporting and paying any taxes due on their earnings from the Platform under the National Internal Revenue Code and other applicable Philippine tax laws. CNSUGO may issue summaries of your earnings upon request or as required by law.

9. Prohibited uses

You agree not to:

  • List, sell, buy or deliver any prohibited or regulated item (illegal drugs, firearms without license, counterfeit goods, live animals, hazardous materials)
  • Use the Platform for money laundering, fraud, or any unlawful purpose
  • Attempt to manipulate ratings, reviews or order assignment
  • Harass, threaten, or abuse other users or staff
  • Reverse-engineer, scrape, or interfere with the Platform's systems
  • Use the Platform in violation of any applicable law, including LGU ordinances

10. Ratings and reviews

Customers may rate merchants and drivers after each completed order. Ratings must be based on actual experience and may not contain hate speech, personal attacks, or false statements. CNSUGO may remove reviews that violate these standards. Drivers whose average rating falls below a threshold may be temporarily suspended pending review.

11. Intellectual property

The CNSUGO name, logo, trademarks, website, software, and all content we create are owned by or licensed to CNSUGO. You may not copy, modify, or create derivative works from them without our written permission. Content you upload (store photos, menu items, profile photos) remains yours, but you grant CNSUGO a non-exclusive, worldwide, royalty-free license to display and use that content for operating and promoting the Platform.

12. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CNSUGO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. CNSUGO IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR FITNESS FOR PURPOSE OF ANY ITEM SOLD OR DELIVERED THROUGH THE PLATFORM.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CNSUGO'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL COMMISSIONS CNSUGO COLLECTED FROM THE TRANSACTION GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND PESOS (₱1,000). CNSUGO SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

14. Indemnity

You agree to indemnify and hold CNSUGO and its officers, employees and agents harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Platform, or your violation of any law or third-party rights.

15. Dispute resolution

We encourage you to first contact our support team at [email protected] to resolve any dispute informally. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the proper courts of Camarines Norte, Philippines. Consumer complaints may also be filed with the Department of Trade and Industry (DTI).

16. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

17. Changes to these Terms

We may update these Terms from time to time. If the changes are material, we will notify you by email or through the Platform at least 7 days before they take effect. Your continued use of the Platform after the changes take effect constitutes your acceptance of the updated Terms.
